Terms of Service

Last updated: October 22, 2026

1. Agreement to Terms

By creating an account, checking the acceptance box at signup, or using PingHQ ("the Service"), operated by The Media Tribe ("we," "us," or "our"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. We record the date and version of the terms you accepted.

2. Description of Service

PingHQ is a multi-channel outbound sales platform that enables users to manage contacts, create email and LinkedIn outreach campaigns, track engagement, and use AI-powered tools for sales research and communication. The Service is provided on a subscription basis.

3. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must notify us immediately of any unauthorized use. During limited-access periods, registration may require a valid invite code.

4. Acceptable Use

You agree not to:

  • Send unsolicited bulk emails (spam) or violate CAN-SPAM, GDPR, or other applicable laws
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to other users' accounts or data
  • Use the Service to harass, threaten, or harm any individual
  • Scrape, reverse-engineer, or interfere with the Service's infrastructure
  • Resell or redistribute access to the Service without written permission
  • Misrepresent your identity or affiliation in outreach campaigns

We reserve the right to suspend or terminate accounts that violate these terms.

5. Contact Data and Sending Compliance

You represent that you have a lawful basis to contact the individuals whose data you upload to, import into, or source through PingHQ. You are solely responsible for ensuring your outreach complies with applicable laws, including CAN-SPAM (US), CASL (Canada), GDPR and PECR (EU/UK), and any other anti-spam, privacy, or telemarketing regulations that apply to you or your recipients.

In particular:

  • You must provide a valid physical mailing address in Settings. PingHQ will not launch a campaign or send a campaign email until one is on file, and it is included in every campaign email.
  • Every campaign email carries an unsubscribe link and a one-click List-Unsubscribe header. You must not remove, obscure, or interfere with them.
  • You must honor every opt-out promptly. Recipients who unsubscribe are placed on a suppression list for your account and will not be emailed by any of your campaigns; you must also act on opt-out requests that arrive by other means, such as a reply asking to be removed.
  • Your subject lines, sender name, and message content must not be false or misleading.

6. Payment and Billing

  • Automatic renewal. Paid plans are billed monthly via Square. Your plan renews automatically at the end of each monthly period, and the card on file is charged the plan price (less any active discount code), until you cancel.
  • Canceling. You can cancel anytime in Settings > Billing. After you cancel, you keep access until the end of the period you have already paid for, and you will not be charged again.
  • Failed payments. If a renewal charge fails, we retry it over the following days and your access continues during a short grace period. If the charge keeps failing (three failed attempts, or the grace period ends without a successful payment), your subscription expires and paid features are no longer available until you subscribe again.
  • Refunds. Fees paid are non-refundable except where required by law.
  • Price changes. We may change pricing with 30 days' notice.

7. AI-Generated Content

PingHQ uses artificial intelligence (Claude by Anthropic) to research prospects and to write or fill in email and message text. AI output is provided "as-is" and may be inaccurate, incomplete, or inappropriate for a given recipient.

  • Text written at send time. If you place an AI instruction in a template (a {{ai: ...}} field), the AI writes that part of the message for each recipient at the moment the email is sent. You will not see or approve those messages one by one before they go out. You are responsible for the instructions you write and for everything sent from your account, including text the AI produced.
  • Research. AI research summaries and suggested leads are drawn from public web sources and may be wrong or out of date. You must check them before relying on them or using them in outreach.

We are not liable for any consequences of using AI-generated content.

8. LinkedIn Automation

If you connect LinkedIn, PingHQ sends connection requests and messages and checks connection status using your own LinkedIn session, under your LinkedIn account. LinkedIn's User Agreement restricts automated activity, and LinkedIn may limit, restrict, or permanently ban accounts it believes are automated. You accept that risk. You must comply with LinkedIn's terms, and you agree that we are not responsible for any restriction, suspension, or loss of your LinkedIn account or data that results from using this feature.

9. Third-Party Integrations

The Service integrates with third-party services including Google (Gmail), Microsoft (Outlook), LinkedIn, HubSpot, Apollo, and Anthropic. Your use of these integrations is subject to each provider's terms of service. We are not responsible for the availability, accuracy, or conduct of third-party services.

10. Data Ownership

You retain ownership of all data you upload to PingHQ, including contacts, templates, and campaign content. We do not sell your data. We may use anonymized, aggregated data to improve the Service. You grant us a limited license to process your data solely to provide the Service.

11. Service Availability

We strive for high availability but do not guarantee uninterrupted service. The Service is provided "as-is" without warranties of any kind, express or implied. We are not liable for downtime, data loss, or any damages arising from use of the Service.

12. Limitation of Liability

To the maximum extent permitted by law, The Media Tribe shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Termination

Either party may terminate this agreement at any time. You may cancel your subscription or delete your account through the Settings page. If you delete your account, your account and associated data are deleted from our live database at the time of deletion; residual copies may persist in provider-managed database backups until those backups expire. We may terminate or suspend your account immediately for violations of these terms.

14. Changes to Terms

We may update these terms at any time. We will notify active users of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance.

15. Governing Law

These terms are governed by the laws of the State of New York, United States. Any disputes shall be resolved in the courts of New York.
